Terms of Service

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you ("Customer," "you," or "your") and Junto Systems, Inc., doing business as On Belay ("On Belay," "we," "us," or "our"). By accessing or using onbelay.ai and related services (the "Service"), you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. The Service

On Belay is a B2B SaaS platform that provides AI governance infrastructure for private organizations. The Service allows organizations to define team structures, configure Claude AI access and permissions, and connect third-party integrations — all delivered to AI agents via the Model Context Protocol (MCP).

3. Accounts and Access

Account creation. You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.

Organization admins. The person who creates an organization is the administrator. Admins may invite additional members, configure groups and integrations, and manage billing. Admins are responsible for their organization's use of the Service.

Authorized users. You may only allow individuals within your organization to use the Service under your account. Each user must agree to these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or attempt to extract source code from the Service
• Use the Service to build a competing product or service
• Transmit malware, spam, or any harmful content through the Service
• Use the Service to facilitate surveillance, harassment, or discrimination
• Circumvent or attempt to circumvent any usage limits or access controls

5. Integrations and Third-Party Services

The Service allows you to connect third-party platforms (e.g., Shopify, HubSpot, Slack, Google Analytics) by storing OAuth tokens or API credentials on your behalf. By connecting an integration, you authorize On Belay to make API calls to that service on your behalf as directed by your team's AI activity.

You are responsible for ensuring your use of connected integrations complies with those services' own terms of service. On Belay is not responsible for the availability, accuracy, or actions of any third-party service.

Shopify Merchant Data. If you connect a Shopify store to On Belay, you authorize On Belay to store your shop's OAuth credentials and access the Shopify API on your behalf to fulfill the Service. On Belay does not store Shopify end-customer personal data. Upon disconnection or account deletion, all Shopify credentials and configuration are deleted within 48 hours.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Your data. You retain all ownership of data you bring into the Service, including organization configuration, integration credentials, and content generated using the Service. On Belay does not claim ownership of your data.

Our use of your data. We use your data solely to operate and improve the Service as described in our Privacy Policy. We do not sell your data or use it to train AI models.

Security. We implement industry-standard security measures. You are responsible for keeping your API credentials and MCP tokens secure. Notify us immediately at privacy@onbelay.ai if you suspect unauthorized access.

7. Billing and Payment

Subscription fees. On Belay is offered on a subscription basis. Current pricing is available at onbelay.ai. Every plan includes all functional groups, integrations, and fieldsets — there are no usage or per-publish charges. Fees are billed monthly in advance and are non-refundable except as required by law or as expressly stated herein.

Payment. Billing runs exclusively through Shopify Managed Pricing. You select and manage your plan from the Shopify App Store; Shopify processes the charge and reports your plan to On Belay. There is no separate checkout inside On Belay.

Cancellation. You may cancel your subscription at any time through Shopify. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.

Delinquency. If payment fails, we may suspend your account after reasonable notice. We will restore access promptly upon payment of outstanding amounts.

8. Intellectual Property

Our IP. The Service, including its software, design, and documentation, is owned by Junto Systems, Inc. and protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service.

Your IP. You retain all intellectual property rights in your data and configurations. You grant On Belay a limited license to use your data solely to provide the Service.

Feedback. If you provide suggestions or feedback about the Service, we may use it without restriction or compensation to you.

9. Confidentiality

Each party may receive confidential information of the other in connection with the Service. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to any third party without prior written consent, except as required by law.

Your organization configuration, integration credentials, and API keys are considered your confidential information. We treat them accordingly.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ON BELAY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED OUTPUTS DELIVERED THROUGH THE SERVICE ARE NOT GUARANTEED TO BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU ARE RESPONSIBLE FOR REVIEWING ALL AI-GENERATED CONTENT BEFORE ACTING ON IT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ON BELAY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO ON BELAY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100.

IN NO EVENT SHALL ON BELAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless On Belay and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your organization's AI activity facilitated by the Service.

13. Termination

By you. You may terminate your account at any time by canceling your subscription and contacting support@onbelay.ai to request deletion.

By us. We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees after notice, or if we are required to do so by law. We will provide notice where reasonably possible.

Effect of termination. Upon termination, your right to access the Service ends immediately. We will delete your data within 30 days of termination upon request. Provisions of these Terms that by their nature should survive termination will survive, including Sections 8, 9, 10, 11, and 12.

14. Modifications

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-product notice. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you may terminate your account before the effective date.

15. General

Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions.

Disputes. Any dispute arising out of these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction for alleged intellectual property infringement.

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and On Belay regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

No waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
