End User License Agreement

1. Acceptance

By creating an account, clicking "I agree," or otherwise accessing the Service, you represent that you have the authority to bind yourself or your organization to this Agreement. If you do not agree, do not use the Service.

2. License Grant

Subject to the terms of this Agreement and payment of applicable fees, Junto Systems grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription term solely for your internal business operations.

3. Restrictions

You may not:

• Sublicense, resell, or transfer access to the Service to any third party
• Reverse engineer, decompile, or attempt to derive the source code of the Service
• Use the Service to build a competing product or service
• Exceed the seat limits associated with your subscription tier
• Use the Service to process data in violation of applicable law
• Attempt to gain unauthorized access to any part of the Service or its infrastructure

4. Accounts and Access

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at support@onbelay.ai of any unauthorized use. We reserve the right to suspend accounts that violate this Agreement.

5. Customer Data

You retain all rights to data you provide to or generate through the Service ("Customer Data"). By using the Service, you grant Junto Systems a limited license to process Customer Data solely to provide and improve the Service. We will not sell your Customer Data to third parties.

You represent that you have all rights necessary to provide Customer Data to the Service and that doing so does not violate any applicable law or third-party rights.

6. Third-Party Integrations

The Service connects to third-party platforms (including but not limited to Shopify, HubSpot, Google, Meta, and others) on your behalf using credentials you provide. You are responsible for compliance with the terms of service of any third-party platform you connect. Junto Systems is not liable for the acts or omissions of third-party services.

7. AI-Generated Content

The Service uses artificial intelligence to generate content on your behalf. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inappropriate material
• You are responsible for reviewing all AI-generated content before publishing or acting on it
• Junto Systems does not warrant the accuracy, completeness, or fitness for any particular purpose of AI-generated content

8. Fees and Payment

Fees are charged in advance on a monthly or annual basis as specified at signup. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

9. Intellectual Property

The Service, including all software, designs, trademarks, and documentation, is owned by Junto Systems and protected by intellectual property laws. Nothing in this Agreement transfers ownership of any Junto Systems intellectual property to you.

Feedback you provide about the Service may be used by Junto Systems without restriction or compensation to you.

10. Confidentiality

Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties without prior written consent, except as required by law.

11. Term and Termination

This Agreement begins on the date you first access the Service and continues until your subscription is terminated. Either party may terminate for convenience with 30 days' written notice. We may suspend or terminate your access immediately for material breach of this Agreement, non-payment, or conduct that poses a risk to the Service or other users.

Upon termination, your license to use the Service ends. We will make Customer Data available for export for 30 days following termination, after which it may be deleted.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. JUNTO SYSTEMS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUNTO SYSTEMS'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL JUNTO SYSTEMS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify and hold harmless Junto Systems and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Data, or your violation of this Agreement.

15. Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Denver, Colorado.

16. Changes to this Agreement

We may update this Agreement from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Agreement.

17. General

This Agreement constitutes the entire agreement between the parties regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later.
